Foundations Terms & Conditions

Investment and Payment.

You agree that you are financially willing and able to invest in this Program by choice, and that by doing so, you are not incurring any economic hardship in any way. 

Your total investment in this program is $6,0002. You may choose to pay in full within 45 days of enrollment to save $1,000.

Authorization and Receipt:  You give Laura Wieck, LLC, permission to automatically charge your credit card as payment for your Program for which you will receive an electronic receipt.  For any installment payment, you give the Company permission to automatically charge your credit card at the time it is due without any additional authorization. You agree that chargebacks are not permissible, that you waive the right of chargeback and the Company reserves the right to report them.

Missed Payment: In the event of major life events or circumstances that prevent making payment on time, Laura Wieck, LLC, allows you a 3-day grace period in which to make payment. If payment is not made by that time, you will be assessed a $30.00 late fee. However, if payment has not been received within 21 days your program will be paused until payment is up to date. In the Company’s sole discretion, it reserves the right to stop your access to and participation in the Program for any payments that are 21 days late after the date due. On any overdue balance, interest will accrue at the rate of 18% per year and you agree that all collection costs including attorney’s fees will be your responsibility.   

Refund Policy:  We want you to be happy with your Program. However, because this is a small group and it is intended that anyone who signs up for the Program will be committed and fully invested in the Program, we are not permitting any refunds or transfers. We have invested considerable time, energy, love and effort in your Program. Space is limited, so if you decide to withdraw for any reason whatsoever, you may do so, but you recognize and agree that you still will remain fully responsible for payment of the full cost of the Program. No refunds or transfers of any kind will be provided. The funds you paid will be forfeited as liquidated damages and not as a penalty because of the opportunity lost to the Company in being unable to fill the program space. 

Intellectual Property Rights.

The Company’s Limited License to You: This Program, Program Materials, and all other marketing, communications and information related to the Program, Certification, and Laura Wieck, LLC, are the sole property of the Company and are protected by copyright, trademark, and other intellectual property laws. This means that when you sign this Agreement, you are purchasing the limited right to use the Program, including the BodyMind Protocol and all other Program Materials, exactly in the form and manner that is provided, unless otherwise specified. All Program Materials are fully copyrighted, all rights reserved, including, without limitation, the content, layout, design, data, databases and graphics related to the Program and Program Materials unless otherwise indicated.

You are granted a limited license with permission to use Laura Wieck, LLC’s intellectual property related to the Program in your business, provided you do so with permission and restrictions in accordance with this Agreement. This means that when you sign this Agreement, you are purchasing the limited right to use the Program and Certification, including the BodyMind Protocol and all other Program Materials, exactly in the form and manner that is provided by the Company, unless otherwise specified. All content obtained through the Company is the property of Laura Wieck, LLC, and you are granted a revocable, non-transferable license for limited commercial use only, limited to you only, and governed by the terms of this Agreement.

You are explicitly prohibited from training other licensed massage therapists, coaches, holistic health care professionals or any other person in using the BodyMind Coaching Certification Program, BodyMind Coaching Method, Program Materials, Certification, theories, or any other aspect of the Program or Certification. Unless otherwise explicitly authorized in this Agreement, you may not duplicate or share the Program, Program Materials or Certification Benefits with any other person, and you are not authorized to train other licensed massage therapists, coaches, holistic health care professionals or any other person or business how to use the Program, Program Materials or Certification for their own commercial or business use with their own clients. Anyone who intends to use the Program, Program Materials, or Certification Benefits including theories, or any other aspect of the Program or Certification for his or her own commercial or business use is required to successfully complete the Program and Certification directly from us. If you obtain or receive knowledge that someone else intends or uses the Program or Certification for commercial or business use, you agree to notify us immediately. Violation of this section may be considered theft or stealing, and therefore you would be acting without permission and directly contrary to, and in violation of, the limited license you have been granted through this Agreement.

Trademarks and Copyrights: You understand and acknowledge that the information obtained through the Program and Certification has been developed or obtained by the Company through the investment of significant time, effort and expense, and that this information is a valuable, special and unique asset belonging to the Company that needs to be protected from improper and unauthorized use. 

The trademarks and logos which are displayed in the Program, Program Materials, Certification, business tools, logo, website and anything else related to the Program, Certification or Laura Wieck, LLC are logos and trademarks belonging to Laura Wieck, LLC. You are prohibited from using or altering Program Materials, logos, taglines, website content or any language relating to the Program, Certification or the Company in a manner that constitutes an infringement of these rights. You are expressly forbidden from creating your own program or course that is identical or substantially similar to the Program, Program Materials or Certification Benefits for any business or commercial use. 

All rights not expressly granted in these terms or any express written license, are reserved by Laura Wieck.

Your Limited License to the Company: By posting or submitting any material on or through the Programs such as comments, posts, photos, images or videos or other contributions, you are representing that you are the owner of all such materials and you are at least 18 years old. When you voluntarily submit to the Company or post any comment, photo, image, video or any other submission for use on or through the Company website, you are granting Laura Wieck, LLC and anyone authorized by the Company consent to make it part of the Company’s current or future website, programs, products, services and/or Program Materials. This right includes granting the Company proprietary rights or intellectual property rights under any relevant jurisdiction without any further permission or compensation by the Company to you.  You may, however, at any time, ask us to delete this information. Your rights regarding this personal information can be found in our Privacy Policy. When you voluntarily submit information to use, you also grant the Company, and anyone authorized by Laura Wieck, LLC, the right to identify you as the author of any of your comments, posts, photos, images, videos or other contributions by name, email address, or screen name. You acknowledge that the Company has the right, but not the obligation, to use and display any contributions from you of any kind and that the Company may elect to discontinue the use and display of any such contributions on the Program or Program Materials at any time for any reason whatsoever.  

Media Release: By participating in the Program and using our Program Materials and/or Certification Benefits, including our Facebook community, you consent to photographs, videos, and/or audio recordings that may be made that may contain your image, your voice and/or your likeness. Please note that these postings and recordings will be shared with potential clients or other clients who have purchased our programs, products and services.  

Intellectual Property Rights in Work Product: You hold all intellectual property rights in any of your work products resulting from participation in the Program and Certification, including, but not limited to, copyright and trademark rights. Laura Wieck, LLC does not claim any such ownership in your work product or intellectual property at any time. Request for Permission to Use Content: Any request for written permission to use Laura Wieck, LLC’s Program, Program Materials, or Certification Benefits, in whole or in part, or any other intellectual property or property belonging to Laura Wieck, LLC, (“Content”), should be made BEFORE you wish to use it by completing the “Contact Us” form on this Website, or by sending an email to support@laurawieck.com. 

Privacy and Confidentiality.

Privacy:  Please review the full Privacy Policy, available on the website.

Confidential Information: To use our Program, Program Materials and Certification Benefits, your personal data or information is released to Laura Wieck, LLC, including your name, email address, phone number, street address, billing information, birthday, preferences, interests, assignments, or other personally-identifying information (“Confidential Information”), or you may offer or provide a comment, photo, image, video or any other submission to the Company when using or participating in the Program, Program Materials and Certification Benefits (“Other Information”). By providing such Confidential Information or Other Information, you grant the Company permission to use and store such information in accordance with the Privacy Policy. The Company, in turn, will use its best efforts to keep your Confidential Information safe, secure and confidential in accordance with this Agreement and the full Privacy Policy, available on the Website. Your data and Confidential Information may be used: (1) for internal record keeping; (2) to improve the Program, Program Materials and Certification Benefits; (3) to periodically send promotions about new programs, products or services or other special offers from which you may unsubscribe at any time; (4) for aggregate, non-identifiable data for research purposes; (5) to customize the respective programs, products or services you purchase or use according to your interests; and/or (6) for support or communication related to your Program, Program Materials or Certification Benefits.

Storage:  All data and Confidential Information is stored through a data management system accessible by Company staff, team, and affiliates.

Confidential Information Disclosure: All Confidential Information will not be disclosed to third parties without written consent unless required by law, except that Confidential Information and personally identifiable information may be disclosed: (1) pursuant to this terms of this Agreement and Privacy Policy and our Disclaimer; (2) if required to do so by law; (3) to comply with any legal process served on the Company or its partners, sponsors, investors, or affiliates; (4) to protect and defend the Company’s rights or property or those of its users or purchasers; and/or (5) to act as immediately necessary in order to protect the personal safety of its users, purchasers, or the public. Laura Wieck, LLC, will not sell, distribute or lease your Confidential Information to third parties unless the Company is required to do so by law or has your permission. 

Slack Community: Our Program and Certification comes with access to a private Slack Group. Per this Agreement, you acknowledge that Slack is a public platform, and therefore, the Company cannot guarantee your privacy for what you voluntarily share in the group. Please see Slack’s user terms and conditions. 

Cookies:  Standard "cookies" features of major web browsers may be used by the Company. The Company does not set any Confidential Information in cookies, nor does it employ any data-capture mechanisms on its Website other than cookies. You may choose to disable cookies through your own web browser’s settings. However, disabling this function may diminish your experience on the website and some features of the Program, Program Materials and Certification may not work as intended. The Company has no access to or control over any information collected by other individuals, companies or entities whose website or materials may be linked to our Program, Program Materials and Certification Benefits.

Passwords: To use certain features of the Program, Program Materials and Certification Benefits, you may be issued a group username and password or a unique individual username and password, which you will receive through your registration and/or purchase process. You may be able to change to a username and/or password of your choosing. You are responsible for maintaining the confidentiality of the password and account and are responsible for all activities (whether by you or by others) that occur under your password or account. You are not permitted to share your username and/or password with anyone. If we learn you have shared your username and/or password with another person, the Company reserves the right to immediately terminate your access to the Program, Program Materials and Certification Benefits, Website, private forum, Facebook group or any other related communication. By using our Program, Program Materials and Certification Benefits, you agree to enter true and accurate information as part of the registration, purchase process and otherwise. 

Personal Responsibility, Disclaimer & Release of Claims.

Personal Responsibility:  You are required to use your own professional judgment and care when interacting with your clients and you are required to operate within your licensure and scope of practice at all times. The Company is not responsible for your decisions, actions, failure to act, or results for yourself or your clients at any time.

Medical Disclaimer:  This Program and Certification are not intended as medical, mental health, nutritional, religious, or health care advise, therapy, diagnosis or treatment, and are intended for education purposes only.  If you have or suspect that you or your client has a medical or mental health issue, please encourage them to contact their health care provider promptly, and report this to Company’s owner. Company is not able to treat medical or mental health problems and you acknowledge that is outside the scope of Company’s services.  

No Warranties or Guarantees:  This Program, Program Materials, Certification Benefits and information provided through the Program is provided "as is" without warranty of any kind, and we make no warranty of any kind, implied or express, as to its accuracy, completeness or appropriateness for any purpose. We do not make any representations or guarantees as to the effectiveness, future income, expenses, sales volume or potential profitability that may be derived as a result of your completion of this Program and Certification. Laura Wieck, LLC, cannot and does not guarantee that you will attain a particular business result or income increase or level through use of this Program or Certification, and you accept and understand that results differ by each individual. You agree that the Company is not responsible for the success or failure of your business decisions, the increase or decrease of your finances or income level, or any other result of any kind that you may have as a result of information presented to you through this Program and Certification. You are solely responsible for your results.  Technology Disclaimer:  The Company does its best to ensure that the availability and delivery of the Program, Program Materials and Certification Benefits are uninterrupted and error-free, including content and communications. However, we cannot guarantee that your access will not be suspended or restricted from time to time to allow for repairs, maintenance or updates. To the fullest extent permitted by law, the Company will not be liable to you for damages or refunds, or for any other recourse, should our Program, Program Materials and Certification Benefits become unavailable or inaccessible due to any reason.

Limitation of Liability, Indemnification, and Release of Claims: Under no circumstances, shall the Company, its subsidiary and parent companies or affiliates, be liable for any direct, indirect, incidental, special or consequential damages that result from your or your clients’ use, non-use or misuse of the Program, Program Materials and Certification Benefits even if we are advised beforehand of the possibility of such damages. To the fullest extent permitted by law, Laura Wieck, LLC, expressly excludes any liability for any direct, indirect or consequential loss or damage incurred by you or your clients in connection with this Program, Program Materials and Certification Benefits in any way, including, without limitation, any liability for loss to you or your clients.

You agree that you will defend, indemnify and hold Laura Wieck, LLC, harmless of and from any claims or causes of action filed against the Company, and that you will fully and completely hold harmless, indemnify and release Laura Wieck, LLC, from any and all liability; damages, including lost profits or other consequential damages; causes of action; allegations; suits; sums of money; claims and demands whatsoever, in law or equity, that you ever had, now have or may have against the Company in the future that may arise from your participation in the Program, including all services, products, and Program Materials, to the extent permitted by applicable law.

Notice and Termination.

Notice: Any notice to be given under this Agreement by either party to the other may be made by e-mail to the e-mail addresses as provided below. Should either Party’s e-mail addresses change after the execution of this Agreement, the Parties agree to provide the other with a new updated e-mail address within 72 hours.

Termination:  The Company reserves the right in its sole discretion to refuse or terminate your access to the Program for any real or perceived violation of the terms in this Agreement at any time. In the event of cancellation or termination by either Party, you are no longer authorized to access the Program, Program Materials and Certification Benefits. Should you wish to terminate participation in the Program at any time, you are to notify Laura Wieck, LLC, by e-mail to support@laurawieck.com. Upon termination by either Party, all of the terms of this Agreement, including Investment and Refund terms, will still apply in full force. Force Majeure: In the event that any cause beyond the reasonable control of either Party, including, without limitation, acts of God, war, curtailment or interruption of transportation facilities, threats or acts of terrorism, State Department travel advisory, labor strike or civil disturbance, make it inadvisable, illegal, or impossible, either because of unreasonable increased costs or risk of injury, for either Party to perform its obligations under this Agreement, the affected Party’s performance shall be extended without liability for the period of delay or inability to perform due to such occurrence. It is not a force majeure if Company can deliver services virtually or online in the event of a pandemic, epidemic, COVID-19 or other quarantine.

Dispute Resolution.

Governing Law:  This Agreement shall be construed according to the laws of the County of Franklin in the State of Ohio where the Company’s business is located. The exclusive venue for any action, arbitration or other proceeding based on or arising out of this Agreement shall be the City of Columbus in the State of Ohio where the Company is located.

Arbitration: Except for claims for injunctive relief, the Parties agree that any and all disputes between them shall be resolved exclusively by binding arbitration to be conducted by a single arbitrator, jointly selected by both parties unless otherwise agreed in writing. Absent an agreement, after thirty days, the parties agree to the selection to be made by the American Arbitration Association. The Parties agree to share the expense of initiating the arbitration equally although the Arbitrator may shift the expense to the nonprevailing party.

Remedies: You acknowledge and agree that any violation of the provisions set forth in the preceding paragraphs will cause Laura Wieck, LLC, to suffer irreparable harm for which Company will not have any adequate remedy at law. Therefore, if you threaten to violate or violate any provision of this Agreement, Laura Wieck, LLC, shall be entitled to injunctive relief without bond, including, but not limited to, temporary restraining orders and/or preliminary or permanent injunctions, to restrain or enjoin any violation or threatened violation of this Agreement. Company’s right to injunctive relief shall be in addition to, and not in lieu of, any other legal or equitable remedies that may be available to Company, including, but not limited to, monetary damages to the extent they are calculable. Any action for injunctive relief shall be brought exclusively in the courts located in or having jurisdiction over Franklin County, Ohio.

Non-Disparagement:  If there is a dispute between you and the Company, you agree to not publicly or privately make any negative or critical comments about the Company, this Agreement or Laura Wieck, LLC, or to communicate with any other individual, company or entity in a way that disparages Laura Wieck, or the Company or harms its reputation in any way, including on social media.

Assignment and Integration.

Assignment: You may not transfer or assign your rights or obligations under this Agreement to anyone else. 

Entire Agreement: This Agreement contains the Parties’ entire agreement. This Agreement may be modified or amended at any time if the amendment is made in writing and is signed by both Parties. In the event that any part of this Agreement is deemed unenforceable, the remaining portions of the Agreement shall be severed and remain in full force. The failure to enforce any provision of this Agreement shall not be construed as a waiver or limitation of the right to later enforce and compel strict compliance with every part of this Agreement.

By making this purchase, both Parties acknowledge that they have read, understand, agree to and accept all of these terms & conditions.
